1. Acceptance of Terms
By accessing or using the Assayed platform ("the Service"), you agree to be bound by these Terms of Service ("Terms"). The Service is operated by Cairnstone Consultancy Ltd, a company registered in England ("we", "us", "our").
If you are using the Service on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms. If you do not agree to these Terms, you must not use the Service.
2. Service Description
Assayed is a software-as-a-service platform that provides automated company risk assessments for procurement and due diligence purposes. The Service queries multiple public and licensed data sources, applies AI-powered analysis, and produces standardised assessment reports.
Assessment reports are generated using data from Companies House, credit reference agencies, news sources, The Gazette, public contract registers, and other publicly available information. The Service is designed to supplement, not replace, professional judgement in procurement decisions.
We do not guarantee the accuracy, completeness, or timeliness of third-party data used in assessments. Data sources may be temporarily unavailable, and assessments will reflect the data available at the time of generation.
3. Account Responsibilities
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately at support@assayed.co.uk if you become aware of any unauthorised use.
You must provide accurate and complete information when creating an account. Accounts are for individual use unless you hold a team or enterprise subscription that permits multiple users.
4. Subscription and Billing
The Service is offered on a subscription basis with tiered pricing. Current pricing is published on our website and may be updated with 30 days' notice to existing subscribers.
Payment Processing
All payments are processed by Paddle (Paddle.com Market Limited), our Merchant of Record. Paddle handles billing, invoicing, sales tax, and payment processing on our behalf. By subscribing, you also agree to Paddle's terms of service.
Free Trial
New accounts may be eligible for a free trial period. At the end of the trial, your account will be downgraded unless you subscribe to a paid plan. No payment information is required during the trial.
Refunds
If you are dissatisfied with the Service within the first 14 days of a paid subscription, you may request a full refund by contacting support. Refunds after 14 days are provided at our discretion.
5. Data Ownership
Your data: You retain ownership of all assessment data generated through your use of the Service. This includes assessment reports, saved searches, and any data you input into the platform.
Our platform: We retain ownership of the Assayed platform, including its software, algorithms, user interface, and all intellectual property therein. The assessment methodology, scoring models, and AI synthesis processes are proprietary.
Data export:You may export your assessment data at any time via the platform's export functionality. Upon account closure, your data is retained for 2 years before it is permanently deleted.
6. Acceptable Use
Your use of the Service is subject to the Acceptable Use Policy, which forms part of these Terms. In summary, you must not use the Service for unlawful purposes, automated scraping, or reselling of assessment data.
7. Limitation of Liability
To the maximum extent permitted by law, Cairnstone Consultancy Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service.
Our total liability for any claim arising from or related to the Service shall not exceed the amount you paid to us in the 12 months preceding the claim.
Assessment reports are provided for informational purposes and should not be the sole basis for procurement or business decisions. We do not warrant that assessments will identify all risks associated with a company. The Service supplements professional due diligence and does not replace it.
8. Enterprise SLA
Enterprise plan subscribers receive a Service Level Agreement (SLA) that includes uptime guarantees, priority support, and dedicated account management. The specific terms of the Enterprise SLA are provided as a separate agreement upon subscription to an Enterprise plan.
Starter and Standard plan subscribers receive commercially reasonable efforts to maintain service availability but are not covered by a formal SLA.
9. Termination
You may cancel your subscription at any time through the platform settings. Cancellation takes effect at the end of your current billing period. You will retain access to the Service until the end of the paid period.
We may suspend or terminate your account if you breach these Terms, the Acceptable Use Policy, or if required by law. We will provide reasonable notice where possible, except in cases of serious or repeated violations.
Upon termination, your assessment data will be retained for 2 years after account closure in accordance with our data retention policy. You may export your data at any time during this period.
10. Changes to These Terms
We may update these Terms from time to time. Material changes will be communicated via email to the address associated with your account at least 30 days before they take effect. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms.
11. Governing Law
These Terms are governed by the laws of England and Wales. Any disputes arising from these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales.
